Standard Terms and Conditions of Sale
1. RETURNED PRODUCT
Absolute Marine does not supply Products on a sale or return basis and returns are not accepted without Absolute Marine having first issued the Customer with a return material authorisation ("RMA") in respect of the Products concerned and the correct returns documents have been completed. A 15% restocking fee may apply. Absolute Marine reserves the right to reject all returned Products which do not have a RMA number.
2. TITLE AND RISK
2.1 All Products supplied by Absolute Marine to the Customer shall be at the Customer’s risk from the time of delivery.
2.2 Notwithstanding delivery and passing of risk, the legal title to and property in the Products shall belong to Absolute Marine until the Customer has paid the price for the Products together with any duty, GST and any accrued interest and any other amounts due in respect of the Products and all other amounts owed by the Customer to Absolute Marine.
2.3 Until property in the Products has passed, the Customer shall be in possession of the Products in a fiduciary capacity and shall not sell or part with possession of them (except as permitted below) or create or allow any charge, lien or other encumbrance to arise over them. The Customer shall take proper care of the Products, and keep them insured for their full replacement value.
2.4 Absolute Marine may repossess and resell any Products which remain its property, and Absolute Marine’s consent to the Customer’s possession of them and any right the Customer may have to sell them shall automatically cease, if
(i) any payment by the Customer to Absolute Marine is overdue, or
(ii) the Customer becomes unable to pay its debts as they fall due, or
(iii) insolvency or similar proceedings are commenced in relation to the Customer, or
(iv) an administrator, conservator, sequestrator, administrative receiver or other similar official is appointed in respect of all or a material part of the Customer’s assets or business.
2.5 The Customer shall permit Absolute Marine and its representatives to enter the Customer’s premises during normal business hours to inspect and/or repossess Products which remain Absolute Marine’s property.
2.6 Whilst the Customer remains in possession of any Products with Absolute Marine’s consent, the Customer may sell such Products in the ordinary course of its business. Subject thereto, the Customer may not transfer any of its rights or obligations under any contract of sale.
